1. Purpose
These Terms of Use ("Terms") are intended to define the conditions under which users may access the Synapse 42 website and the Kubrik 21 platform, and use the services, features, content, and tools offered therein.
They apply to Synapse 42's public website, areas accessible after authentication, the Kubrik 21 platform, its applications, interfaces and associated services, as well as any application programming interfaces ("APIs") made available by Synapse 42.
They also apply to new features or subsequent developments made to the Services, except where such features are subject to specific terms of their own.
Use of the Services implies full and unconditional acceptance of these Terms.
When a user accesses the Services on behalf of a company, association, public authority, or any other legal entity or organization, the user represents that they have the necessary powers and authorizations to bind that entity.
These Terms do not replace any specific commercial agreements entered into between Synapse 42 and its clients, including service agreements, license agreements, SaaS agreements, subscription agreements, service level agreements ("SLAs"), data processing agreements ("DPAs"), or other specific agreements.
In the event of any conflict between these Terms and a specific agreement entered into between Synapse 42 and a Client, the provisions of that specific agreement shall prevail within the scope of its subject matter.
2. Definitions
For the purposes of these Terms, capitalized terms have the following meanings.
"Synapse 42" means Synapse 42 as well as, where applicable, the legal entity operating the Kubrik 21 service, including Synapse 42 Innovation SARL, depending on the service concerned and the information provided in the Legal Notice.
"Kubrik 21" means the digital platform developed and operated by Synapse 42, intended in particular to facilitate the management of consultants, prospects, clients, assignments, and administrative, financial, and operational information.
"Services" means all features, applications, interfaces, content, tools, and services accessible through the website or Kubrik 21.
"User" means any natural person accessing or using the Services.
"Client" means any natural or legal person that has entered into a commercial agreement with Synapse 42 to benefit from all or part of the Services.
"Account" means the personal or professional space allowing a User to access features requiring authentication.
"Data" means all information, data, documents, files, content, and information of any kind entered, imported, transmitted, or generated in connection with the use of the Services.
"Personal Data" means any personal data within the meaning of Regulation (EU) 2016/679 ("GDPR").
"User Content" means any document, text, file, image, CV, invoice, supporting document, comment, or other content transmitted or entered by a User in connection with the use of the Services.
"AI Services" means features based wholly or partially on artificial intelligence, machine learning, natural language processing, or similar technologies.
3. Overview of Synapse 42 and Kubrik 21
Synapse 42 is a technology consulting and services company that develops, among other things, solutions designed to facilitate the management of consultants, prospects, clients, and assignments.
Kubrik 21 is a modular digital platform that makes it possible to centralize and automate certain administrative, commercial, financial, and operational processes.
Depending on the rights assigned to the User and the services subscribed to by their organization, Kubrik 21 may, in particular, enable the management of consultant profiles, prospects, clients, assignments, skills, CVs, working hours and timesheets, expense reports, administrative documents, compensation information, invoices, communications, feedback, and other information required for business management.
Certain features may also enable automated document analysis, skill identification, anomaly detection, profile searches, or matching profiles with assignments using artificial intelligence technologies.
The features actually accessible depend on the User's profile, the rights assigned to them, and the services subscribed to by their organization.
4. Access to the Services
Synapse 42's public website may be accessed freely, subject to the technical requirements necessary for its operation.
However, certain features, particularly those of Kubrik 21, require the creation of an Account and prior authentication.
Access to Kubrik 21 is restricted to authorized Users. Access authorization may be granted by Synapse 42, by the administrator of the Client's organization, following a registration procedure, or by means of any other authentication mechanism implemented by Synapse 42.
Synapse 42 reserves the right to determine, or have the Client determine, the features accessible to each category of User.
The User must have computer equipment, a browser, an Internet connection and, where necessary, software or applications compatible with the Services. The costs associated with such equipment and services shall remain the User's responsibility.
Synapse 42 does not guarantee the compatibility of the Services with all existing equipment, operating systems, browsers, or configurations.
5. Account Creation and Management
Where access to the Services requires the creation of an Account, the User undertakes to provide accurate, complete, and up-to-date information.
The User must keep their information up to date and report any changes that may affect the accuracy of the information provided.
Authentication credentials are personal and confidential. Except where a feature expressly permits delegation or sharing, an Account may not be used by multiple people.
The User must not use a third party's Account or allow an unauthorized person to use their own Account.
Where an Account is created or administered by an organization, that organization may be responsible for managing its Users' access rights and defining the permissions granted to them.
6. Authentication and Security
Depending on the Services used, authentication may be based on a username and password, a single sign-on system ("Single Sign-On"), an external identity provider, multi-factor authentication, or any other mechanism made available.
The User is responsible for maintaining the confidentiality of their authentication methods and must take all reasonable precautions to prevent their disclosure or use by a third party.
In particular, the User is responsible for keeping their credentials in a secure environment, protecting their workstation, and immediately reporting to Synapse 42 or the appropriate administrator any compromise or suspected compromise of their Account.
Synapse 42 may temporarily suspend an Account when it identifies or suspects a compromise, an attempted fraudulent access, or behavior likely to compromise the security of the Services.
7. Use of the Services
The User undertakes to use the Services in accordance with these Terms, applicable laws and regulations, and the rights granted to them.
The User must use the Services in a manner that does not infringe the rights of other users, the integrity of data, the security of systems, or the availability of the Services.
The User is responsible for the use of their Account and for the consequences resulting from actions performed through it, except in situations where fraudulent use is beyond their control and has been reported within a reasonable period.
8. Prohibited Uses
The Services may not be used for fraudulent or unlawful purposes or for purposes inconsistent with their intended use.
In particular, the User must not attempt to gain unauthorized access to an Account, server, infrastructure, or feature, or circumvent security or authentication mechanisms.
The User is also prohibited from intentionally introducing malware, disrupting the operation of the Services, carrying out denial-of-service attacks, conducting unauthorized large-scale scraping or automated data extraction, or performing load or penetration testing without Synapse 42's prior consent.
The User may not resell, sublicense, or make access to the Services available to a third party without authorization.
The User is also prohibited from copying, reproducing, decompiling, disassembling, or attempting to reconstruct the source code, algorithms, or internal architecture of the Services, except to the extent expressly permitted by law.
Finally, the User must not use the Services to store or transmit unlawful content, infringe third-party rights, impersonate a person or organization, transmit unsolicited communications, or allow an unauthorized third party to access the Services.
9. Data and Content Entered by the User
The User remains responsible for the Data and User Content they enter into Kubrik 21.
The User warrants that they have the necessary rights, authorizations, and legal bases to collect, transmit, store, and process such Data in connection with the Services.
This obligation applies in particular to data relating to consultants, candidates, prospects, employees, staff members, client representatives, suppliers, or any other natural person.
The User undertakes not to transmit data obtained fraudulently or data whose use or transmission to Synapse 42 would be contrary to applicable regulations.
10. Personal Data
The processing of personal data carried out in connection with the Services is governed by Synapse 42's Privacy Policy.
This policy specifies, in particular, the categories of data processed, purposes, legal bases, recipients, retention periods, security measures, any international transfers, and the rights of data subjects.
Depending on the context of the processing, Synapse 42 may act as a data controller or processor on behalf of a Client.
Where Synapse 42 acts as a processor, the respective responsibilities of Synapse 42 and the Client are specified in the agreement and, where necessary, in the applicable DPA.
11. Sensitive Data
Kubrik 21 is not intended to enable the unrestricted and uncontrolled collection of special categories of personal data.
In particular, the User must not enter, in fields, comments, or documents not intended for this purpose, data relating to health, political opinions, religious or philosophical beliefs, trade union membership, biometric or genetic data, sex life, or sexual orientation.
Where a specific feature exceptionally permits the processing of a special category of data, its use must comply with the applicable legal and contractual requirements.
12. Administrative and Financial Documents
Certain Kubrik 21 features make it possible to store and process administrative, professional, or financial documents, including expense reports, supporting documents, invoices, timesheets, contracts, compensation information, and other documents necessary for professional activities.
The User warrants that they have the necessary rights to transmit these documents and undertakes to transmit only the information necessary for the intended purpose.
Where these documents contain personal data, their processing is subject to the Privacy Policy and, where applicable, the DPA entered into with the Client.
13. Artificial Intelligence Features
Kubrik 21 may offer features based on artificial intelligence technologies.
These features may be used, in particular, to analyze CVs or documents, extract or normalize information, identify skills, detect certain anomalies, generate summaries, assist with drafting, search for profiles, or facilitate matching profiles with assignments.
The results generated by these features are provided for assistance purposes and may contain errors, be incomplete, or fail to take certain contextual factors into account.
The User must therefore verify the generated results before any use that may have legal, financial, contractual, professional, or administrative consequences.
Where an AI feature is used on behalf of a Client, the data is processed in accordance with the controller's instructions and the terms set out in the applicable DPA.
14. Automated Decisions
Artificial intelligence features may perform analyses or generate recommendations concerning profiles, documents, skills, or assignments.
Unless otherwise indicated, these features do not constitute solely automated decision-making producing legal effects or similarly significant effects within the meaning of Article 22 of the GDPR.
In particular, a recommendation generated by Kubrik 21 does not, by itself, constitute a hiring, dismissal, compensation, assignment, or any other decision legally binding Synapse 42 or the Client.
Where regulations require human intervention or specific safeguards, these must be implemented by the relevant data controller.
15. Accuracy of Information
Synapse 42 implements reasonable measures to ensure the quality and consistency of the Services.
However, the information available in Kubrik 21 may depend on data entered by Users, data imported from third-party systems, available integrations, or automated processing.
Synapse 42 therefore does not guarantee that all information in Kubrik 21 will at all times be complete, accurate, or up to date.
The User must verify the information before using it to make a decision or carry out a binding transaction.
16. Integrations and Third-Party Services
Kubrik 21 may be connected to services or systems operated by third parties.
These integrations may, in particular, enable data to be imported, synchronized, or exported.
Use of a third-party service may be subject to its own contractual terms and privacy policies.
Synapse 42 does not necessarily control third-party services and cannot guarantee their availability, security, accuracy, or the continued availability of their application programming interfaces.
The modification, unavailability, or discontinuation of a third-party service or API may result in the degradation or interruption of a Kubrik 21 feature.
17. API
When Synapse 42 makes an API available, its use is subject to the associated technical and contractual terms.
The User or Client must comply with the defined technical limits, preserve the confidentiality of access keys and tokens, and must not use the API to circumvent the security or rate-limiting mechanisms in place.
Synapse 42 may limit, suspend, or revoke API access when its use poses a risk to the security, availability, or integrity of the Services.
18. Availability of the Services
Synapse 42 uses reasonable means to ensure the availability and proper functioning of the Services.
However, the Services may be temporarily unavailable due in particular to maintenance operations, updates, technical incidents, infrastructure failures, network issues, third-party provider failures, cyberattacks, or events beyond Synapse 42's reasonable control.
Where possible, Synapse 42 informs Users of maintenance operations that may have a significant impact.
Any specific availability commitments are exclusively those set out in the applicable contracts or SLAs.
19. Maintenance and Development of the Services
Synapse 42 may develop the Services in order to improve their performance, security, usability, or functionality, correct defects, integrate new technologies, or take regulatory developments into account.
These developments may modify the interface, operation, or characteristics of certain features.
Synapse 42 may also replace or remove a feature that has become obsolete, subject to any contractual commitments applicable to the Client.
20. Intellectual Property
The Services and their components are protected by applicable intellectual property laws.
Software, source and object code, architectures, databases, interfaces, graphic elements, logos, trademarks, texts, algorithms, models, methods, and documentation comprising the Services may in particular be protected.
Unless otherwise provided, these elements remain the property of Synapse 42 or their respective owners.
These Terms of Use do not entail any transfer of intellectual property rights to the User.
21. License to Use
Subject to compliance with these Terms of Use and, where applicable, payment of the amounts due, Synapse 42 grants the User a personal, non-exclusive, non-assignable, and non-transferable right to access and use the Services for the period during which the User is authorized to access them.
This license is strictly limited to using the Services in accordance with their intended purpose.
In particular, it does not authorize the User to reproduce, distribute, sell, rent, sublicense, or make the Services or their components available to third parties, unless expressly provided otherwise by an applicable contract.
22. Content Belonging to the User
The User retains the rights they hold in the User Content they enter into Kubrik 21.
In order to provide the Services, the User authorizes Synapse 42, to the extent necessary for their operation, to host, store, technically reproduce, process, transmit, and display such content.
This authorization is limited to the operations necessary to provide, maintain, secure, and improve the Services, as well as to comply with applicable legal obligations.
It does not entail any transfer of ownership of User Content.
23. Aggregated Data and Statistics
Within the limits permitted by applicable regulations, Synapse 42 may produce aggregated statistics and indicators relating to the use of the Services.
Where necessary, the data used for this purpose is aggregated or anonymized in such a way as to reasonably prevent the identification of the individuals concerned.
These statistics may be used in particular to measure use of the Services, improve their performance, detect anomalies, strengthen their security, or guide their development.
24. Information Security
Synapse 42 implements technical and organizational measures designed to ensure the security of the Services and the data processed therein.
These measures may include, in particular, access control, authentication, encryption where appropriate, logging, monitoring, backup, environment segmentation, permission management, and incident detection mechanisms.
As no IT infrastructure can be considered completely invulnerable, Synapse 42 does not guarantee the absolute absence of any security risk.
The User agrees to contribute to the security of the Services by complying with the rules of use and promptly reporting any incident or suspicious behavior.
25. Reporting Vulnerabilities
Any vulnerability or security flaw likely to compromise the confidentiality, integrity, or availability of the Services must be reported to Synapse 42 as soon as possible using the contact details provided in the Legal Notice.
The User must not exploit a vulnerability for any purpose other than its reasonable assessment and reporting.
Unless expressly authorized by Synapse 42, penetration tests, automated scans, load tests, or similar operations likely to affect the Services are prohibited.
26. Backups and Restoration
Synapse 42 may implement backup mechanisms to limit the consequences of data loss or corruption and enable restoration of the Services.
Backups are primarily intended to ensure continuity and restoration of the Services and do not necessarily constitute a mechanism enabling the User to retrieve a historical version of all their data at any time.
The User remains responsible for retaining, where necessary, their own copies of documents that they are legally required to retain.
27. Liability of Synapse 42
Synapse 42 is responsible for providing the Services within the limits established by law and the applicable contracts.
In particular, it cannot be held liable for data entered by Users, errors contained in such data, the use made of automatically generated results, improper use of the Services, loss resulting from misuse of credentials, the unavailability of a third-party service, or failure of infrastructure beyond its control.
Nor can Synapse 42 be held liable for consequences resulting from an event constituting force majeure.
28. Limitation of Liability
To the extent permitted by applicable regulations, Synapse 42 shall not be liable for indirect, intangible, or consequential damages resulting in particular from loss of revenue, loss of opportunity, loss of customers, loss of reputation, or business interruption.
In business-to-business relationships, Synapse 42's financial liability may be capped in accordance with the provisions of the applicable contract.
Where no specific cap is provided for in a commercial contract, any limitation of liability must be interpreted within the limits permitted by applicable law.
No provision of these Terms of Use shall have the effect of limiting or excluding liability that cannot legally be limited or excluded.
29. User Liability
The User is responsible for their use of the Services, the confidentiality of their credentials, the content they enter, the rights they hold in such content, the data concerning third parties that they transmit, and compliance with applicable laws and regulations.
The User is also responsible for decisions made on the basis of information, analyses, or recommendations provided by the Services, subject to liabilities that cannot legally be excluded or limited.
30. Account Suspension
Synapse 42 may temporarily or permanently suspend a User's access where necessary, in particular in the event of a breach of these Terms of Use, fraudulent use, a risk to the security of the Services, infringement of third-party rights, conduct likely to compromise the Services, or a request from a competent authority.
Where circumstances permit, Synapse 42 may notify the User in advance and allow them to remedy the breach.
However, immediate suspension may be implemented where necessary to protect the Services, Users, or third parties.
31. Account Deletion
The User may request deletion of their Account where this feature is available or in accordance with the procedures communicated by Synapse 42.
Deletion of an Account may result in loss of access to the documents, history, preferences, or other information associated with it.
It does not necessarily mean that all data is immediately deleted from all Synapse 42 systems.
Certain information may need to be retained to comply with a legal obligation, fulfill a contractual obligation, or for evidentiary, security, or legal defense purposes.
The detailed deletion procedures are described in the Data Deletion Instructions.
32. Termination of the Services
In the event of termination of a contract between Synapse 42 and a Client, the procedures for the return, export, archiving, and deletion of data are determined by the applicable contract and, where applicable, by the DPA.
Where technically provided for, Synapse 42 may make mechanisms for exporting data available.
Data may be retained for the period necessary to comply with legal obligations, defend Synapse 42's rights, or for any other legally justified purpose.
33. Hyperlinks
The Services may contain links to websites or services operated by third parties.
Synapse 42 does not necessarily control these services and cannot be held liable for their content, availability, security, or privacy policy.
34. Electronic Communications
The User agrees that Synapse 42 may communicate with them electronically where necessary to provide the Services.
These communications may concern, in particular, authentication, security, notifications, maintenance operations, developments to the Services, incidents, or performance of the contract.
Commercial communications are subject to the applicable rules on electronic marketing and, where necessary, to the User's consent.
35. Cookies
The Synapse 42 website and the Services may use cookies and similar technologies.
The procedures for collecting and using these technologies are specified in the applicable Cookie Policy.
Where consent is required, it is obtained in accordance with applicable regulations.
36. Amendment of the Terms of Use
Synapse 42 may amend these Terms of Use to take into account, in particular, developments to the Services, the addition of new features, regulatory changes, improvements to security, or developments in its activities.
The applicable version is the one published on the website or brought to the User's attention as of the date on which the User uses the Services.
Where an amendment is substantial and concerns a contractual service, Synapse 42 may inform Clients by appropriate means.
Where required by law or the applicable contract, the User or Client may be given a period in which to review the new terms and, where applicable, terminate the service concerned.
37. Evidence and Logging
Synapse 42's IT systems may record certain information relating to use of the Services, including connection dates and times, operations performed, security events, data modifications, administrative operations, as well as technical information necessary for the operation and security of the Services.
Within the limits provided by law, these records may constitute evidence of operations performed within the Services.
Log data is retained in accordance with applicable retention periods and for security, operational, and evidentiary purposes.
38. Confidentiality
The parties undertake to preserve the confidentiality of information to which they have access in connection with the use of the Services where such information is confidential in nature.
This obligation does not apply to information that is already public, becomes public without breach of a confidentiality obligation, is required by law to be disclosed, or whose disclosure has been expressly authorized by its owner.
The confidentiality obligations may be supplemented by specific contracts entered into between Synapse 42 and its Clients.
39. Force Majeure
Synapse 42 shall not be held liable for any delay or failure to perform resulting from an event reasonably beyond its control that meets the criteria for force majeure under applicable law.
Such events may include, in particular, where they meet the applicable legal requirements, natural disasters, fires, floods, epidemics or pandemics, wars, riots, terrorist acts, major network failures, significant interruptions of telecommunications services, large-scale cyberattacks, or decisions imposed by authorities.
The affected party informs the other party within a reasonable period where the situation materially affects the performance of its obligations.
40. Severability
If any provision of these Terms of Use is declared void, illegal, or unenforceable, the other provisions shall remain fully applicable.
Where necessary, the parties will endeavor to replace the provision concerned with a valid provision having an effect as close as possible to the original intent.
41. No Waiver
Synapse 42's failure to immediately exercise a right arising from these Terms of Use shall not be construed as a waiver of that right.
42. Assignment
The User may not assign or transfer their rights or obligations arising from these Terms of Use to a third party without the prior authorization of Synapse 42 where such authorization is required.
Synapse 42 may transfer its rights and obligations, in particular as part of a reorganization, merger, acquisition, transfer of business, or transaction involving all or part of the activities related to the Services, subject to compliance with applicable legal and contractual obligations.
43. Relationship Between the Parties
These Terms of Use do not create any partnership, joint venture, mandate, agency, representation, franchise, or employer-employee relationship between Synapse 42 and the User, except where such a relationship expressly arises from a separate agreement.
44. Professional Users and Consumers
The Services are primarily intended for professional use.
Where a User acts exclusively for professional purposes, the specific provisions applicable to relationships between professionals shall apply, subject to mandatory law.
Where a User acts as a consumer, the mandatory consumer protection provisions applicable to them shall prevail over any conflicting provision of these Terms of Use.
45. Complaints
Any complaint relating to the Services may be submitted to Synapse 42 using the contact details provided in the Legal Notice.
To facilitate its processing, the complaint should, where possible, specify the identity of the complainant, the Service concerned, the nature of the issue, the date on which it occurred, and any information enabling the relevant transaction or incident to be identified.
Synapse 42 endeavors to process complaints within a reasonable period of time.
46. Governing Law
These Terms of Use are governed by Luxembourg law, subject to any mandatory provisions that may apply to the User.
Where a User benefits from mandatory protective provisions under the law of their country of residence, such provisions shall remain applicable under the conditions provided for by the relevant regulations.
47. Dispute Resolution
In the event of a dispute relating to the interpretation, validity, or performance of these Terms of Use, the parties shall first endeavor to reach an amicable solution.
If an amicable resolution cannot be reached, the dispute shall be submitted to the competent courts in accordance with the applicable rules of jurisdiction.
For relationships between professionals, and subject to applicable mandatory provisions, the parties may contractually agree to the exclusive jurisdiction of the courts of the Grand Duchy of Luxembourg.
48. Data Protection
The processing of personal data carried out in connection with the Services is subject to Synapse 42's Privacy Policy.
Data subjects have rights, under the conditions provided for by applicable regulations, including rights relating to access, rectification, erasure, restriction, portability, and objection.
The procedures for exercising these rights are set out in the Privacy Policy and, for the right to erasure, in the Data Deletion Instructions.
49. Additional Contractual Documents
These Terms of Use may be supplemented, depending on the Services concerned, by the following documents:
- the Legal Notice;
- the Privacy Policy;
- the Cookie Policy;
- the Data Deletion Instructions;
- commercial or pricing terms;
- SaaS agreements or license agreements;
- service agreements;
- service level agreements ("SLAs");
- data processing agreements ("DPAs");
- and any notice or specific terms applicable to a particular feature.
In the event of a conflict between these Terms of Use and a specific agreement entered into with a Client, the provisions of the specific agreement shall prevail with respect to its subject matter.
50. Effective Date
These Terms of Use shall take effect upon publication.
